1. Definitions

In these Terms and Conditions:

  • "We," "us," "our," or "Verdex" refers to Verdex, a law firm operating in Hong Kong
  • "You" or "Client" refers to any person or entity engaging our services or using our website
  • "Services" means the legal services we provide, including company incorporation, corporate restructuring, and governance support
  • "Website" refers to our online presence at verdex.info
  • "Engagement" means a formal agreement to provide legal services
  • "Agreement" refers to these Terms and Conditions together with any engagement letter or service agreement

2. Acceptance of Terms

By accessing our website or engaging our services, you agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, you should not use our website or services.

These terms apply to all visitors, users, and clients of our services, both current and prospective.

You must be at least 18 years of age and have the legal capacity to enter into binding agreements to use our services or website.

3. Scope of Services

We provide corporate law services in Hong Kong, including:

  • Company incorporation and registration
  • Corporate restructuring advisory
  • Board governance and compliance support
  • Company secretarial services
  • Related corporate legal matters

The specific scope of services for each engagement will be detailed in a separate engagement letter. These Terms and Conditions supplement, but do not replace, the terms set out in individual engagement letters.

We reserve the right to decline any engagement at our discretion, particularly where conflicts of interest exist or where we determine we lack the appropriate expertise.

4. Client Responsibilities

When engaging our services, you agree to:

  • Provide complete, accurate, and timely information relevant to your matter
  • Respond promptly to our requests for information or documentation
  • Inform us immediately of any changes affecting your matter
  • Follow our advice and recommendations, or inform us if you choose a different course
  • Pay all fees and expenses as agreed
  • Comply with all applicable laws and regulations
  • Maintain confidentiality of any privileged communications

Failure to fulfill these responsibilities may affect our ability to serve you effectively and could impact the outcome of your matter.

5. Fees and Payment

5.1 Fee Structure

Our fees are structured as follows:

  • Fixed Fees: Company Incorporation (HKD 1,560) and other services where specified
  • Project-Based Fees: Corporate Restructuring Advisory (starting from HKD 8,500)
  • Annual Subscription: Board Governance & Compliance (HKD 14,040 per year, billed quarterly)

5.2 Payment Terms

Payment is due within 14 days of invoice date unless otherwise agreed in writing. We accept payment by bank transfer, cheque, or other methods as specified on the invoice.

5.3 Expenses

You are responsible for all reasonable expenses incurred in connection with your matter, including government filing fees, courier charges, and disbursements to third parties. These will be itemized separately on invoices.

5.4 Late Payment

Late payments may incur interest charges at the rate of 2% per month or the maximum allowed by law, whichever is lower. We reserve the right to suspend services for accounts in arrears.

6. Intellectual Property

All content on our website, including text, graphics, logos, and design elements, is the property of Verdex or our licensors and is protected by copyright and other intellectual property laws.

Documents we prepare for you during an engagement are provided for your use in connection with the specific matter. You may not reproduce, modify, or distribute them for other purposes without our written consent.

You retain ownership of any materials you provide to us, subject to our right to retain copies as required by professional regulations.

7. Confidentiality

We maintain strict confidentiality regarding all client information in accordance with professional conduct rules for solicitors in Hong Kong. Information will not be disclosed to third parties except:

  • With your express consent
  • When required by law or court order
  • To professional advisors bound by confidentiality (e.g., accountants, insurers)
  • To government agencies as part of regulatory filings
  • As necessary to enforce our rights or defend against claims

Client confidentiality extends beyond the termination of our engagement and applies to all communications and information received during the course of representation.

8. Disclaimers and Limitations

8.1 No Guarantees

While we endeavor to provide high-quality legal services, we cannot guarantee specific results or outcomes. Legal matters involve inherent uncertainties, and outcomes can be affected by factors beyond our control.

8.2 Website Content

Information on our website is provided for general informational purposes only and does not constitute legal advice. Do not rely on website content as a substitute for professional legal counsel specific to your circumstances.

8.3 Third-Party Links

Our website may contain links to third-party websites. We do not endorse or accept responsibility for the content, privacy practices, or services of linked sites.

8.4 Limitation of Liability

Our liability for any claims arising from our services is limited to the amount of fees paid for the specific engagement giving rise to the claim, except where such limitation is prohibited by law or in cases of gross negligence or willful misconduct.

We are not liable for any indirect, incidental, consequential, or special damages, including loss of profits, business interruption, or loss of data.

9. Professional Standards

We are bound by the Hong Kong Solicitors' Guide to Professional Conduct and maintain current practicing certificates issued by the Law Society of Hong Kong.

Professional indemnity insurance is maintained as required by Law Society regulations. Details of our insurance coverage are available upon request.

If you have concerns about our professional conduct, you may contact the Law Society of Hong Kong or the Legal Aid Department as appropriate.

10. Termination

10.1 Client Termination

You may terminate our engagement at any time by providing written notice. You remain responsible for fees and expenses incurred up to the termination date.

10.2 Our Termination Rights

We may terminate an engagement if:

  • You fail to pay fees when due
  • A conflict of interest arises
  • You fail to provide necessary information or cooperation
  • Continuing the engagement would violate professional rules
  • The relationship has broken down irretrievably

10.3 Effects of Termination

Upon termination, we will:

  • Cease work on your matter
  • Provide a final invoice for services rendered
  • Return your documents upon payment of outstanding fees
  • Assist with transition to new counsel if requested

Our duty of confidentiality continues after termination.

11. Dispute Resolution

11.1 Governing Law

These Terms and Conditions are governed by the laws of the Hong Kong Special Administrative Region. Any disputes will be subject to the exclusive jurisdiction of the Hong Kong courts.

11.2 Informal Resolution

We encourage clients to raise any concerns directly with us first. Most issues can be resolved through open communication. If you are dissatisfied with our services, please contact our managing partner.

11.3 Formal Proceedings

If informal resolution is unsuccessful, disputes may be referred to mediation before commencing litigation. The Hong Kong International Arbitration Centre provides mediation services suitable for professional services disputes.

12. Data Protection

We process personal data in accordance with the Personal Data (Privacy) Ordinance and our Privacy Policy. Please refer to our Privacy Policy for detailed information about data handling practices.

13. General Provisions

13.1 Entire Agreement

These Terms and Conditions, together with any engagement letter, constitute the entire agreement between you and Verdex regarding the subject matter herein and supersede all prior discussions or agreements.

13.2 Severability

If any provision of these terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

13.3 Waiver

Our failure to enforce any provision does not constitute a waiver of that provision or our right to enforce it in the future.

13.4 Assignment

You may not assign your rights or obligations under these terms without our written consent. We may assign our rights and obligations with reasonable notice to you.

13.5 Notices

All notices must be in writing and sent to the addresses specified in the engagement letter or to [email protected].

14. Changes to Terms

We reserve the right to modify these Terms and Conditions at any time. Changes will be posted on our website with an updated "Last Updated" date. Material changes will be communicated to active clients.

Continued use of our services after changes indicates acceptance of the modified terms. Changes do not apply retroactively to existing engagements unless mutually agreed.
